SpaceNet agrees to sell SDC SpaceNet DataCentre to Arcus Infrastructure Partners LLP

Munich-based full-service internet provider SpaceNet AG (SpaceNet) announces the sale of SDC SpaceNet DataCenter GmbH & Co. KG (SDC), one of the most sustainable and modern data centres in Europe, to Arcus Infrastructure Partners LLP (Arcus). Arcus is an independent infrastructure fund manager investing in four key sectors - digital, transport, logistics & industry and energy. The purchase of SDC SpaceNet DataCenter is the first step in a data centre network planned by Arcus.

SpaceNet will continue to be an important and long-term customer of SDC in the future. The servers and IT of SpaceNet's business customers will continue to run at SDC in the coming years. The team responsible for the management of the data centre will be taken over by Arcus and will continue to oversee the daily operations and future development of the data centre. Following the sale of SDC, SpaceNet will focus more on its core competences as a provider of Internet services and managed IT services.

The SDC data centre is located in Kirchheim near Munich and specialises in providing high-end colocation capacity and related services to its customers. It is certified to EN50600 VK4, the highest availability standard. This means that the data centre is extremely resilient, which benefits SDC's existing and future customers.

Arcus attaches great importance to ensuring that its investments have a positive ESG effect (ESG: Environment, Social, Governance). The acquisition of SDC fulfils these criteria. It provides much-needed IT infrastructure capacity and fulfils the industry's high energy efficiency requirements. As the future owner of SDC, the company looks forward to supporting the data centre's existing customers and the future development of the data centre. The purchase of SDC is the first acquisition in a planned data centre aggregation strategy focused on Germany and surrounding countries.

"Arcus is a partner at eye level, which was important to us both in the context of the sale and with regard to our future long-term partnership. With the development of the SDC, we have realised our ambition to create a data centre with the highest availability, physical security and the most energy-efficient construction possible, in which our and our customers' servers are located and in which we can have 100% confidence," explains Michael Emmer, CEO of SpaceNet AG.

"Our decision to sell SDC to Arcus was the logical consequence of our continued strategic focus on our core competences as an Internet provider. Basically, nothing will change for our customers," says Sebastian von Bomhard, Managing Director of SDC and CEO of SpaceNet AG. "The team on site will remain the same. The smooth continuation of data centre services for all SpaceNet customers is ensured by a long-term lease agreement."

John Shea, the partner leading the transaction at Arcus, said: "We have evaluated numerous data centres in Germany and Europe over the last few years. SDC has proven to be a very suitable first acquisition in our data centre aggregation strategy due to its excellent location, highly specialised design, market leading energy efficiency, high quality anchor customers and development potential. We look forward to working with the SpaceNet team to deliver the next phase of growth for this business and our broader platform strategy."

The transaction is expected to close in the first quarter of 2023.

Arcus was advised by Noerr (legal), Arup (technology), BDO (finance) and Aon (insurance), SpaceNet was advised by Poellath (legal).
